Terms & Conditions of Business
These Terms & Conditions govern all services provided by Instant Karma (“we”, “us”, “our”) to the client (“you”, “your”).
By confirming a booking, you agree to the following terms.
1. Booking & Confirmation
1.1 A project is only confirmed once:
a written agreement (email or contract) is in place, and
the required deposit has been received
1.2 We reserve the right to decline or release booking dates until payment is secured.
2. Fees & Payment Terms
2.1 All fees will be outlined in writing prior to project commencement.
2.2 Standard payment structure:
50% deposit upfront (required to secure booking)
50% balance due upon project completion or prior to final delivery
2.3 For smaller projects, full payment may be required in advance.
2.4 All invoices are payable within 7 days unless otherwise agreed in writing.
3. Late Payment
3.1 Late payments may incur:
statutory interest under the **Late Payment of Commercial Debts (Interest) Act 1998
compensation fees where applicable
3.2 We reserve the right to:
suspend ongoing work
withhold delivery of final assets
delay future bookings
until outstanding balances are cleared.
4. Delivery & Ownership
4.1 Final deliverables will only be released once full payment has been received.
4.2 Unless otherwise agreed in writing:
Instant Karma retains ownership of all raw footage and project files
The client is granted a licence to use the final delivered content for agreed purposes
4.3 Transfer of raw footage or project files may incur an additional fee.
5. Revisions
5.1 Projects include a reasonable number of revisions (typically 2 rounds unless specified).
5.2 Additional revisions beyond this scope may be charged at standard editing rates.
6. Scope of Work
6.1 Work will be delivered in line with the agreed brief.
6.2 Any significant changes to scope, including:
additional filming days
extended edits
new deliverables
may incur additional costs.
7. Cancellations & Rescheduling
7.1 Deposits are non-refundable.
7.2 If a project is cancelled:
within 7 days of the shoot → up to 100% of the fee may be charged
outside 7 days → deposit retained
7.3 Rescheduling is subject to availability and may incur additional costs.
8. Client Responsibilities
8.1 The client agrees to:
provide clear briefs and timely feedback
secure necessary permissions, locations, and releases
ensure access to required locations and contributors
8.2 Delays caused by the client may affect timelines and incur additional charges.
9. Creative Control
9.1 Instant Karma retains creative control over:
filming approach
editing style
final execution
within the agreed brief.
9.2 While client feedback is welcomed, final editorial decisions remain with Instant Karma.
10. Expenses
10.1 Additional costs may include:
travel
accommodation
specialist equipment
crew
10.2 These will be agreed in advance wherever possible.
11. Liability
11.1 We will take all reasonable care in delivering services.
11.2 However, we are not liable for:
circumstances beyond our control (weather, technical failure, force majeure)
loss of opportunity, revenue, or indirect damages
11.3 In all cases, liability is limited to the total project fee.
12. Usage & Promotion
12.1 Unless otherwise agreed, Instant Karma reserves the right to:
use project content for portfolio, website, and promotional purposes
13. Confidentiality
13.1 We will respect the confidentiality of sensitive client information where agreed.
14. Governing Law
14.1 These terms are governed by the laws of England and Wales.
15. Acceptance
By engaging Instant Karma’s services, you acknowledge and agree to these Terms & Conditions.
